01 · Legal form

A person who trades or provides services through the internet is subject to business registration if the activity is carried on in Hong Kong; the IRD judges this on procurement, promotion, delivery, settlement of proceeds and scale. Small businesses can apply for exemption from the fee and levy but must still register.

02 · Legal form

The IRD says a business or branch registration certificate does not mean any other legal requirement for that business is met; depending on the activity, other licences or recognised professional qualifications may be needed from the relevant authorities.

03 · Legal form

Business registration certificates come in 1-year and 3-year versions; a business may elect the 3-year certificate, and for a local company the first certificate runs from the date of incorporation.

04 · Payments

Hong Kong taxes only profits that arise in or derive from Hong Kong, per the IRD. Source is decided by an operations test looking at what the taxpayer did and where, and is not decided by the company's place of incorporation alone.

What documents are normally required?+

Typically: certificate of incorporation, register of directors and shareholders, proof of UBO identity and address, a description of business activity, and evidence of source of funds. Exact requirements vary by provider.

What affects the cost?+

Setup and ongoing fees vary with jurisdiction, ownership structure, business activity, expected turnover and compliance profile. The provider discloses its fees before you proceed, and any Latynex advisory fee is disclosed separately.
