Know the difference

A commercial question is not a compliance question.

The words are used loosely, and a buyer can order the wrong review and believe the right one was done. This page separates the commercial background review LATYNEX provides from KYC, AML, sanctions and PEP screening, which it does not provide, so you can tell which question you are actually asking.

The decision question

Which review does my situation need, and which one am I being asked for?

A commercial background review serves the person making a business decision: should I appoint, buy from or sign with this company, and on what terms. Compliance screening serves an obligation: the regulated party must identify the customer or counterparty and check it against lists, to a standard the regulator sets. The first informs a choice; the second discharges a duty. Mixing them leaves either the choice or the duty unmet.

A single transaction can need both. They are done by different people, to different standards and with different outputs.

What each one is for

What each one is for

Commercial background review (this service)

Reads public records and published material to describe a company's registry record, ownership as published, footprint and public reputation, with red flags and sources. Purpose: informing a commercial decision.

KYC and AML screening

Identifies a customer or counterparty and its controllers to a regulated standard and checks against sanctions, politically exposed person and similar lists. Purpose: meeting a compliance obligation. Done by or for a regulated party using its own procedures.

Legal due diligence

Examines contracts, litigation, title and regulatory standing, and is carried out by lawyers. Not provided here and not replaced by this review.

Financial review

Audit, accounts analysis and valuation by accountants. Not part of this service.

Situations and which review fits

Situations and which review fits

A manufacturer choosing an export distributor

This is a commercial question about reach and standing, which the background review is built for. If the manufacturer's bank later requires counterparty screening, that is a separate process.

A payment provider or bank asking for documents on a counterparty

That request comes from the institution's own obligations. What it requires is for the institution to state; screening is outside this service.

A buyer facing a first large order from an unknown company

Both questions may apply. The commercial review addresses whether the company looks like what it says; any compliance step runs through your own compliance function or an appropriate provider.

The report never says a company is cleared.

Step by step

How to decide before you order anything

01

Name the trigger

Is the review driven by a choice you are making or by a rule, a contract clause or an institution asking you for it?

02

Name who must be satisfied

If the answer is a regulator, bank or auditor, ask them what they accept. If it is you and your colleagues, a commercial review may serve.

03

Keep the outputs separate

File the background report with the decision it supported and the compliance record with the obligation it met.

Good to know

What this is, and isn't

Research reports what can be established from public and provided sources. It is not a guarantee about a counterparty's future conduct and not legal advice.

FAQ

Frequently asked questions

Can you also run sanctions or PEP screening?+

No. Screening against such lists is outside the service and must come from a regulated procedure or provider.

Will a commercial report satisfy my bank?+

That is for the bank to say. The report is a commercial document and does not state clearance, so ask the bank what it requires.

Why not combine the two?+

Their purposes, standards and responsible parties differ, so they are kept apart.
