Terms of Service

These Terms of Service ("Terms") govern your use of the Latynex website at latynex.com and any logistics services provided by Latynex Trade ("Latynex", "we", "us", "our"). By submitting a quote request, ordering an assessment, or otherwise using our services, you agree to these Terms.
1. Services
1.1 Scope
Latynex provides China-origin freight forwarding and logistics services including but not limited to: DDP shipping, Amazon FBA logistics, air freight, sea freight (FCL/LCL), rail freight, and warehouse consolidation. We also provide logistics assessment and consulting services.
1.2 Service Availability
Services are available to business entities and individuals operating in a commercial capacity. We reserve the right to decline to provide services for any reason, including but not limited to prohibited goods, sanctioned parties, or routes we do not service.
1.3 Freight Quotes
All freight quotes issued by Latynex are indicative estimates until confirmed in writing. A quote becomes binding only when confirmed by Latynex in writing and accepted by the client. Quote validity periods are stated in each quote; if not stated, quotes are valid for 5 business days from issue.
Final invoiced amounts may differ from quotes where: (a) actual cargo dimensions or weight differ materially from declared information; (b) carrier surcharges are applied after booking that were not in market rates at time of quoting; (c) customs authorities require additional documentation, examinations or duties not included in the original quote scope.
2. Logistics Assessment Service
2.1 Assessment Scope
The logistics assessment service provides expert review and analysis of your proposed or existing freight approach. Assessments include route recommendation, landed cost estimation, Incoterms analysis, customs documentation review, and where applicable Amazon FBA compliance guidance.
2.2 Assessment Fees
Assessment fees are published on our website and confirmed at the time of ordering. Payment is required before delivery of the assessment report. Assessment fees are credited against your first Latynex freight booking made within 90 days of assessment delivery.
2.3 Assessment Limitations
Assessments are advisory in nature. While we apply professional expertise, assessments do not constitute legal advice, customs legal opinion, or tax advice. Actual customs duties, tariffs and regulations are subject to change by government authorities and are the responsibility of the importer of record.
2.4 Delivery
Assessments are delivered within the timeframe specified at purchase (Starter: 48 hours; Business: 48 hours + 30-minute call; Strategic: 72 hours + 60-minute call). Delivery timeframes are business days from receipt of all required information. We will notify you if additional information is needed.
3. Client Obligations
3.1 Accuracy of Information
You are responsible for providing accurate, complete and up-to-date information about your cargo, including: correct description, weight and volume, HS codes (where requested), country of origin, declared value, and any special handling requirements. Latynex is not liable for delays, additional costs or customs penalties arising from inaccurate or incomplete cargo information.
3.2 Prohibited and Restricted Goods
You must not submit goods for shipment that are prohibited by the laws of the origin or destination country, or that require special permits you have not obtained. This includes but is not limited to: hazardous materials without proper IATA/IMDG classification, CITES-protected species, counterfeit goods, and goods subject to export or import embargoes.
3.3 Customs Compliance
For shipments under DAP or EXW Incoterms where the client is the importer of record, you are responsible for ensuring your import is compliant with all applicable customs regulations, duty payments and import licensing requirements.
4. Payment Terms
4.1 Payment
Payment terms are stated in each individual quote or service agreement. Standard freight booking payment is due prior to shipment departure or as otherwise agreed in writing. Assessment fees are due prior to delivery.
4.2 Late Payment
Latynex reserves the right to suspend service, withhold shipment documents, or apply late payment interest at a rate of 2% per month on overdue amounts where payment terms are not met.
4.3 Currency
Quotes and invoices are issued in Euros (EUR) unless otherwise agreed. For shipments involving other currencies, exchange rates are confirmed at the time of booking.
5. Liability
5.1 General Limitation
Latynex's liability for loss, damage or delay to cargo is limited in accordance with the applicable international convention (Warsaw Convention / Montreal Convention for air, Hague-Visby Rules for sea, CIM for rail) or, where no convention applies, to the lesser of the actual loss or the freight charges paid for the affected shipment.
5.2 Exclusions
Latynex is not liable for: (a) delays caused by customs authorities, port congestion, weather, strikes, or other force majeure events; (b) loss or damage resulting from inadequate packing by the shipper; (c) inherent vice of the goods; (d) consequential, indirect or economic losses including lost profits or market losses; (e) customs seizure or confiscation resulting from inaccurate declarations by the client.
5.3 Insurance
Freight charges do not include cargo insurance unless expressly stated. We recommend that clients arrange appropriate cargo insurance. We can arrange cargo insurance on request — this will be stated separately in your quote.
5.4 Website Use
The Latynex website, including calculators and tools, is provided for informational purposes. Calculation results are estimates only. We do not guarantee the accuracy, completeness or timeliness of information on the website. Use of the website is at your own risk.
6. Force Majeure
Neither party shall be liable for failure to perform obligations where such failure results from circumstances beyond their reasonable control, including but not limited to: acts of God, pandemic, war, government actions, port closures, carrier insolvency, strikes, cyber incidents, or natural disasters. The affected party must notify the other promptly and take reasonable steps to mitigate the impact.
7. Intellectual Property
All content on the Latynex website — including text, graphics, logos, calculator code and assessment report templates — is owned by or licensed to Latynex and protected by copyright. You may not reproduce, distribute or create derivative works from any content without our prior written consent.
Assessment reports delivered to clients are licensed for the client's own use. Reports may not be resold, published or used to develop competing services.
8. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with logistics services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority.
9. Termination
Either party may terminate a service engagement by providing written notice. Termination does not affect any accrued rights or obligations. Where shipments are already in transit at the time of termination, obligations in respect of those shipments continue until delivery.
Latynex may immediately terminate services if: (a) the client provides materially false information; (b) the client engages in fraudulent activity; (c) the goods are found to be prohibited; or (d) the client fails to make payment after notice.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of Austria. Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Austria, without prejudice to any mandatory consumer protection rights.
Before commencing formal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by a new version date at the top of this page. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. For ongoing service agreements, material changes will be communicated with at least 14 days' notice.
